Organization
Set forth via articles of association in its bylaws, the Vertical Geopolitics Lab is a non-profit legal structure defined in accordance with the Swiss Civil Code. Unless conducting a commercial operation, it does not need to be registered as such to have a separate legal personality.
Articles of Association
Art I: Name
§ 1.01 Name. The name of this organization shall be the Vertical Geopolitics Lab (‘VGL’). The business of the organization may be conducted as VGL or the Vertical Geopolitics Lab.
Art II: Duration
§ 2.01 Duration. The period of duration of the organization is perpetual.
Art III: Purpose
§ 3.01 Purpose. The Vertical Geopolitics Lab is an investigative practice and think-tank dedicated to exposing intangible systems and hidden agendas within the built environment. The lab’s motto claims that ‘to portray reality is a reality of its own’. Its vision aims to prevent the reality of representation from being missed for its representation of reality. Because to instill a debate on how something is being portrayed matters as much as what is being portrayed. The lab is comprised of a decentrally-organized research staff, a board of advisors, and correspondents around the globe. At times, per the discretion of the board of directors, the organization may provide fellowships or volunteer opportunities, which will provide opportunities for involvement in said activities and programs in order to have a greater impact for change. To maximize the Vertical Geopolitics Lab’s impact on current efforts, the organization may seek to collaborate with other organizations.
Art IV: Non-Profit Nature
§ 4.01 Non-Profit Nature. The Vertical Geopolitics Lab is organized exclusively for the purpose of promoting and developing activities committed to understanding urbanization and improving the state of an expanded field of spatial practice. No part of the net earnings of the Vertical Geopolitics Lab shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. The Vertical Geopolitics Lab is not organized and shall not be operated for the private gain of any person. The property of the organization is irrevocably dedicated to its purposes. No part of the assets, receipts, or net earnings of the organization shall inure to the benefit of, or be distributed to any individual. The organization may, however, pay reasonable compensation for services rendered, and make other payments and distributions consistent with these articles.
§ 4.02 Personal Liability. No officer or director of this organization shall be personally liable for the debts or obligations of the Vertical Geopolitics Lab of any nature whatsoever, nor shall any of the property or assets of the officers or directors be subject to the payment of the debts or obligations of this organization.
§ 4.03 Dissolution. Upon termination or dissolution of the Vertical Geopolitics Lab, any assets lawfully available for distribution shall be distributed to one (1) or more qualifying organizations with a purpose which, at least generally, includes a purpose similar to the terminating or dissolving organization. The organization to receive the assets of the Vertical Geopolitics Lab hereunder shall be selected by the discretion of a majority of the managing body of the Vertical Geopolitics Lab.
§ 4.04 Prohibited Distributions. No part of the net earnings, or properties of this organization, on dissolution or otherwise, shall inure to the benefit of, or be distributable to, its members, directors, officers or other private person or individual, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Art III, § 3.01.
Art V: Board of Directors
§ 5.01 Governance. The Vertical Geopolitics Lab shall be governed by its board of directors.
§ 5.02 Initial Director. The initial director of the organization shall be Lukas Pauer.
Art VI: Membership
§ 6.01 Membership. Membership shall consist of those members who actively seek for opportunities for involvement in the Vertical Geopolitics Lab’s activities and programs in order to have a greater impact for change.
Art VII: Amendments
§ 7.01 Amendments. Any amendment to the Articles of Association may be adopted by approval of a simple majority of two-thirds (2/3) of the board of directors.
Art VIII: Address
§ 8.01 Address. The physical address of the organization is its mailing address; XXX.
Art IX: Appointment of Registered Agent
§ 9.01 Registered Agent. The registered agent of the organization shall be its initial director.
Art X: Incorporator
§ 10.01 Incorporator. The name and mailing address of the incorporator of the organization is that of its initial director.
